Mr. Crissman joined Prism
Mezzanine Fund in 2002 as a founding partner and
has more than 20 years of experience financing and investing in middle-market
companies. Mr. Crissman's responsibilities include sourcing,
executing and managing investments. Mr. Crissman maintains
board responsibility for several of the Fund's portfolio companies,
and currently serves as the President of the Midwest
SBIC Association. He is a founding member of the Private Equity Advisory Board
at the Fuqua School of Business at Duke University.
Prior to joining Prism, Mr. Crissman was a principal with
Bank of America Capital Investors, a mezzanine and equity
investing partnership funded by Bank of America where he had
origination, structuring, underwriting and monitoring responsibilities
for a mezzanine and equity portfolio. Prior to joining Capital
Investors, Mr. Crissman was in BancAmerica Securities High
Yield Group. His responsibilities included sourcing, analyzing,
due diligence on and structuring of transactions that raised
over $2.5 billion.
Mr. Crissman is a graduate of Augustana College and received
an MBA from the Fuqua School of Business at Duke University.

Mr. Finkel is President and founder of Prism Capital, the
management company of both the Prism Opportunity Fund and
the Prism Mezzanine Fund. For the last eighteen years he
has been completing middle market transactions, the last
sixteen years in the Chicago private equity community. As
Managing Partner of both the Prism Opportunity Fund and
Prism Mezzanine Fund, Mr. Finkel has recruited and coordinated
two investment teams and has overseen equity fund deployment
into fourteen portfolio companies and mezzanine fund deployment
into nineteen companies. Mr. Finkel served on the
Boards of Penn-Wheeling Closure and Artromick, Inc. and Optical Experts Manufacturing. He is a founder and former Chairman of the Illinois
Venture Capital Association, and is a recipient of their prestigious
Fellows Award. Mr. Finkel was selected to serve
on the State Treasurer's fund of fund review board and serves
on the board of Chicago Junior Achievement as well as the Board of Governors of the Bulletin of the Atomic Scientists.
Previously, Mr. Finkel was an Investment Manager at Wind Point
Partners where he invested in early, growth and later stage
companies. Before entering the world of private equity, he
was an investment banker specializing in mergers and acquisitions
with Paine Webber. He received an MBA from the Harvard Graduate
School of Business and a BA from Johns Hopkins University.

Mr. Harlan joined
Prism Mezzanine Fund in 2004. He has 20 years experience financing
and investing in middle-market companies. He manages
several of Prism's investments and is active in deal origination,
underwriting, closing and managing investments as well as serving on several portfolio company boards. Mr. Harlan is a board member of the Chicago chapter of the Association for Corporate Growth and serves on the Museum of Science and Industry President's Council. He is also the Board President of a local private school board.
Prior to Prism he headed the Chicago office of Golub Capital,
a provider of junior capital to middle market companies. Prior
to joining Golub, Mr. Harlan was a principal with CID Equity
Partners, a Midwest-based private investment firm with mezzanine
and equity funds. Prior to CID, he helped form ANB Mezzanine
Corporation (predecessor to Chase Mezzanine). Mr. Harlan began
his career at American National Bank and Trust Company of Chicago
and held positions in the workout and commercial banking. Mr.
Harlan received an MBA from the University of Chicago and holds
a Bachelors degree from the University of Notre Dame. |

Mr. Hoesley joined Prism in 2001. He is responsible for sourcing,
executing, and monitoring investments. Mr. Hoesley serves on the
boards of SterilMed and Celleration. He is a Partner in the Prism
Opportunity Fund and the Prism Mezzanine Fund.
Mr. Hoesley is a member of the Board of Directors of the Illinois
Venture Capital Association, Co-Chair of the Entrepreneurship
Committee of the Kellogg Alumni Club of Chicago and is a member
of Illinois Mathematics and Science Academy’s President’s
Alumni Advisory Council and the Board Vice President and Treasurer of the IMSA
Fund for the Advancement of Education.
Prior to Prism, he served as the Chief Financial Officer of Legato
Partners, LLC where he led the successful effort to restart two
divisions of Foster & Gallagher, Inc. as part of its Chapter
11 reorganization. Mr. Hoesley was also the co-founder and Chief
Executive Officer for eVincio Corporation, a provider of enterprise-class
content management software. He also spent four years at Credit
Suisse First Boston, where he specialized in financings for international
and technology businesses. John has a Masters of Management from
J.L. Kellogg Graduate School of Management at Northwestern University
with majors in Management and Strategy, Organizational Behavior
and Finance. He earned a BS degree in Chemistry from the University
of Illinois. |

Ms. Mayasich joined Prism Mezzanine Fund
in 2002, as a founding Partner of the Fund. For the past 18
years, Ms. Mayasich has been actively investing mezzanine
capital, and has completed over 70 transactions representing
approximately $480 million of capital. Prior to joining
Prism, Ms. Mayasich spent eleven years with Churchill Capital,
Inc., as a founding team member where she became the Senior
Subordinated Debt Investment Principal. Ms. Mayasich’s
experience as a mezzanine investor has provided her many opportunities
to speak at prominent national buyout, equity and mezzanine
conferences.
Ms. Mayasich began her career in 1979 as an auditor for Deloitte
and Touche where she managed audit engagements in the Midwest.
From 1983 to 1989, she was the Accounting Manager and Due Diligence
Officer for North Star Resource Group, a Minneapolis based investment
brokerage and advisory firm. Ms. Mayasich received a Bachelor
of Science degree from the University of Minnesota in Accounting
and is a Certified Public Accountant. She also has held NASD
Series 7, Series 63, and CFP licenses. |

Mr. Vivian joined Prism Capital as the second full-time
professional in 1999. He is a Partner in both Prism Opportunity
Fund and Prism Mezzanine Fund and is responsible for sourcing,
executing and monitoring investments. His board responsibilities
include ClearSource, HighBeam Research, Banner Service Corp.
and Fieldglass. Mr. Vivian is the Chairman of the Board
of Governors of the National
Association of Small Business Investment Companies,
Co-Chair of the Institutional Investor Task Force Committee
of the Illinois Venture
Capital Association and has served as the President
of the Midwest Regional SBIC association. He is also a member
of the Economic Club of Chicago and serves on the Information
Technology Membership Committee for that organization.
Prior to joining Prism, Mr. Vivian worked in BancAmerica Securities's
leveraged finance group where he served as both a senior lender
and investment banker for the placement of leveraged loans
high yield public bonds. He also previously worked for Parker
Hannifin Corp. and co-founded an Internet consulting and training
firm, Mage Technologies. Mr. Vivian received both a BS degree
in General Engineering and an MBA from the University of Illinois
and spearheaded the university's establishment of the Stanley
C. Golder Center for Private Equity and Entrepreneurial Finance.

Mr. Lump joined Prism in 2005, and is responsible for
all accounting and financial reporting functions. Previously
he was a Senior Manager with Ernst & Young in the Chicago
office and most recently worked on strategic and operational
initiatives for Ernst & Young's global Transaction Advisory
Services practice. Prior to this role, Mr. Lump provided
financial due diligence services to private equity and corporate
buyers in various industries including distribution, manufacturing,
and retail. Mr. Lump began his career at Ernst & Young
as an auditor in both the Chicago and London offices. He
received a Bachelors degree from DePaul University, an MBA
from the University of Chicago, and is a Certified Public
Accountant.

Mr. Lopez joined Prism Capital in 2007 as an analyst. He
is responsible for assisting in sourcing, evaluating, executing
and monitoring investments. Prior to joining Prism, Mr.
Lopez was an associate with SunTrust Robinson Humphrey’s
syndicated finance group where he was actively involved
in structuring and syndicating leveraged and non-leveraged
senior credit facilities. Mr. Lopez began his career as
a portfolio manager with SunTrust Banks’ corporate
banking division where he managed a portfolio consisting
of major food and restaurant companies.
Mr. Lopez received a BBA in Finance
and Accounting from the Goizueta Business School of Emory
University.

Ms. Johns
joined Prism in 2003 and is a Business Development Analyst.
Her duties include maintaining the fundraising portion of
the firm database, coordinating marketing materials and projects,
researching various market trends and activities, and acting
as investor relations liaison to potential and current limited
partners. Ms. Johns holds a BFA from the Chicago College of
Performing Arts at Roosevelt University, where she was a member
of the Roosevelt Scholars Program and of the Franklin Honor
Society. |

Prior to joining Prism
in 2006, Ms. Collins held a variety of jobs including working as
a sales associate for Brooks Brothers, managing the office of Redmoon
Theater Company, and teaching English as a foreign language in Bangkok,
Thailand. Her primary responsibilities at Prism include event planning,
marketing, graphic design and maintaining the company's website as well as
providing administrative support.
Ms. Collins holds a BFA in scenic design from The Theatre School at
DePaul University and her design work can occasionally be seen on the
stages of Chicago’s store-front theatres.
